While we strive to provide high-quality consulting services, you acknowledge that technology and security landscapes evolve rapidly, and no solution is completely without risk. We disclaim any guarantee of results.

6. Fees and Payment

6.1 Fees
If you engage us for cybersecurity consulting or other professional services, the fees and payment schedule will be specified in a separate agreement or statement of work (“SOW”).

6.2 Invoicing
We will invoice you as set forth in the applicable agreement or SOW, and you agree to make payment within the stated terms.

6.3 Late Payments
Late payments may incur interest at the maximum rate allowed by law. We reserve the right to suspend or terminate our Services if invoices remain unpaid.

7. Disclaimers

7.1 Professional Advice
All consulting services and recommendations we provide are based on our professional judgment and on the information you make available to us. However, we cannot guarantee that our recommendations will prevent all security incidents.

7.2 Third-Party Services
We may recommend or provide links to third-party sites or services. We do not endorse or control those sites or services, and we are not responsible for their content or any damages arising out of their use.

7.3 “As Is” Basis
The Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

8. Limitation of Liability

8.1 No Indirect Damages
To the fullest extent permitted by law, Securitech Systems Inc., its affiliates, and their respective directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

8.2 Liability Cap
Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount actually paid by you to Securitech Systems Inc. under the applicable agreement in the twelve (12) months preceding the event giving rise to such liability.

9. Indemnification

9.1 Indemnity
You agree to indemnify and hold harmless Securitech Systems Inc., its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Site or Services.

10. Termination

10.1 Termination by Us
We may terminate or suspend your access to the Site or Services immediately, without prior notice or liability, if you breach these Terms or engage in unlawful conduct.

10.2 Effect of Termination
Upon termination, all rights granted to you under these Terms will immediately cease. Any provisions intended to survive termination (such as confidentiality, indemnification, and limitation of liability) will remain in effect.

11. Governing Law and Dispute Resolution

11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11.2 Dispute Resolution
Any dispute arising out of or in connection with these Terms shall be resolved exclusively by the courts of competent jurisdiction in the Province of Quebec. You hereby submit to the personal jurisdiction of such courts and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

12. Miscellaneous

12.1 Entire Agreement
These Terms constitute the entire agreement between you and Securitech Systems Inc. regarding the use of the Site and Services, unless a separate written agreement governs a specific engagement.

12.2 Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

12.3 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision.

12.4 Assignment
You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
